Small Finder Business Member Portal — Combined Terms of Use & Privacy Policy

These Terms of Use and Privacy Policy (“Terms”) govern your access to and use of the Small Finder Business Member Portal (“Portal”), operated by RichardsonCreatives LLC (“we,” “our,” or “us”). By creating an account, submitting business information, or purchasing a subscription, you agree to these Terms.

1. Eligibility and Business Representation

1.1 Authorized Representative

By creating an account, you confirm that you are an authorized representative of the business you are registering and have the authority to bind the business to these Terms.

1.2 Small & Independent Business Attestation

By creating an account, you swear and affirm that the business you represent meets established standards for being both:

  • A small business, and
  • An independent business, meaning it is not owned, controlled, or operated by a national chain, franchise system, or large corporate entity.

You agree that:

  • All information you provide regarding your business status is truthful and accurate.
  • RichardsonCreatives LLC may review or verify your eligibility at any time.
  • If your business is found to not meet the “small” and “independent” criteria, we reserve the right to remove your business information from the Small Finder mobile app and/or terminate your Portal access without refund.

2. Portal Services

The Portal allows businesses to submit and manage information displayed in the Small Finder mobile app, including:

  • Business name
  • Business location(s)
  • Logo and branding assets
  • Phone number
  • Website and social media links
  • Product and/or service descriptions
  • Other business-related content

We may modify, update, or discontinue Portal features at any time.

3. Subscription Fees, Billing, and Refunds

3.1 Annual Subscription

Access to the Portal requires an annual paid subscription. Fees are charged at the time of purchase and renew annually unless canceled before renewal.

3.2 No Refunds Policy

All subscription fees are non-refundable, including:

  • Current subscription term taxes and fees
  • Advance payments
  • Unused time or features
  • Accidental purchases
  • Account inactivity

3.3 Taxes

Subscription fees may be subject to sales tax, use tax, or other transaction‑based taxes depending on your location and applicable laws.

3.4 Price Changes

We may change subscription pricing at any time.

  • Price changes apply to the next billing cycle.
  • You will be notified in advance.
  • Continued use after a price change constitutes acceptance.

3.5 Payment Processing Through Stripe

All subscription payments are processed securely through Stripe, a third‑party payment processor. By purchasing a subscription, you authorize Stripe to process your payment information on our behalf.

RichardsonCreatives LLC does not collect, store, or have access to full payment card numbers or sensitive financial data. All such information is handled exclusively by Stripe in accordance with its own Terms of Service and Privacy Policy.

Your use of Stripe’s payment services is subject to Stripe’s legal agreements.

4. Business Content Submission and License

4.1 Ownership and Accuracy

You represent that you own or have rights to all content you submit (“Business Content”) and that it is accurate, lawful, and non-infringing.

4.2 License to RichardsonCreatives LLC

By submitting Business Content, you grant us a worldwide, royalty-free, non-exclusive, sublicensable license to:

  • Display your content in the Small Finder mobile app
  • Display your content on the Small Finder website
  • Use your content in promotional materials
  • Reproduce, distribute, and modify your content as needed to operate and improve the platform

This license remains active as long as your content is published through the Portal.

4.3 Prohibited Business Content

You may not upload, submit, or display any Business Content that includes or promotes:

  • Harassment, bullying, or threats
  • Swearing, name-calling, or abusive language
  • Violence or violent imagery
  • Illegal acts or encouragement of illegal acts
  • Intellectual property infringement
  • Discriminatory, hateful, or offensive content
  • Pornographic or sexually explicit material
  • Content exploiting or endangering children
  • Personal information shared without consent
  • Spam, scams, or deceptive practices

This list is non-exhaustive. We may remove any content we deem inappropriate or harmful.

4.4 Content Removal

You may update or remove Business Content at any time. Removal may take time to propagate across all platforms. We may remove content that violates these Terms or applicable laws.

4.5 Formatting Adjustments

We may format, crop, resize, or adjust Business Content for display purposes without altering its meaning.

4.6 Responsibility for Accuracy

You are solely responsible for ensuring that all submitted Business Content remains accurate and current.

5. Listing in the Small Finder App

RichardsonCreatives LLC reserves the right, at its sole discretion, to approve, deny, modify, or remove any business listing from the Small Finder mobile app or website. Listing placement, visibility, and inclusion are not guaranteed and may vary based on technical, editorial, or eligibility considerations.

We do not guarantee increased visibility, customer engagement, revenue, or any specific business outcomes.

6. Acceptable Use Requirements

You agree not to:

  • Submit false, misleading, or harmful information
  • Misrepresent your business as “small” or “independent”
  • Upload unlawful, defamatory, obscene, or discriminatory content
  • Interfere with Portal functionality or security
  • Attempt to access other businesses’ accounts or data
  • Use the Portal for any purpose other than managing your Small Finder listing

Violations may result in suspension or termination.

7. Intellectual Property

All Portal software, design, and features (excluding Business Content) belong to RichardsonCreatives LLC. You may not copy, modify, distribute, or reverse engineer any part of the Portal.

Businesses may not use the Small Finder name, logo, or branding in a manner that suggests partnership, endorsement, or sponsorship without prior written permission.

8. Platform Availability

The Portal and Small Finder mobile app may be unavailable from time to time due to maintenance, updates, technical issues, or factors outside our control. We do not guarantee uninterrupted access and assume no liability for resulting impacts.

  • Diagnostic and performance data

9.4 Financial Information

We do not collect or store full credit card numbers, bank account information, or other sensitive financial data. All payment information is transmitted directly to Stripe.

10. How We Use Your Information

We use collected information to:

  • Provide and manage Portal services
  • Display your business in the Small Finder mobile app
  • Process payments and manage subscriptions
  • Verify eligibility
  • Improve platform performance and security
  • Communicate with you about updates, billing, or support
  • Enforce these Terms

10.1 Business Communications & Consent to Contact

By creating an account, you consent to receiving essential service communications, including:

  • Subscription confirmations and billing notices
  • Updates to these Terms or our Privacy Policy
  • Compliance or eligibility notices
  • Service availability updates
  • Security or technical alerts

These communications are transactional and required for account operation.

10.2 Consent to Payment Processing

By submitting payment information, you consent to Stripe’s processing of your payment.

11. Data Sharing Practices

We do not sell your personal or business data. We may share data with:

  • Stripe
  • Hosting and analytics providers
  • Legal authorities
  • Successor entities

12. Data Security

We use reasonable safeguards to protect your data, including encryption, access controls, and secure authentication.

13. Data Retention

We retain data as long as necessary to provide services, maintain listings, comply with legal obligations, and resolve disputes.

14. Your Privacy Rights

15. Payment Processing Liability

RichardsonCreatives LLC is not responsible for errors, delays, or issues arising from Stripe’s payment processing services.

16. Liability Disclaimer

RichardsonCreatives LLC assumes no liability for:

  • Availability, accuracy, or completeness of Business Content
  • Errors or omissions in user-submitted information
  • Any consequences arising from reliance on Business Content
  • Any products, services, or claims made by listed businesses

Businesses are solely responsible for their own content.

17. Termination

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay subscription fees
  • Submit unlawful or harmful content
  • Misrepresent your business as “small” or “independent”

Upon termination:

  • Your Portal access ends immediately
  • Your business may be removed from the Small Finder app
  • Subscription fees remain non-refundable

18. Survival

Sections relating to intellectual property, prohibited content, payment obligations, disclaimers, limitations of liability, indemnification, and governing law survive termination.

19. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

20. No Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

21. Governing Law

These Terms are governed by the laws of the State of Oregon. Any controversy or claim shall be resolved in a court of competent jurisdiction in Marion County, Oregon.

YOU AND RICHARDSONCREATIVES LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS PART OF A CLASS ACTION.
